Before OKX and GenTwo issue an AMC, the core thing to check is: what legal structure are you actually buying, and whether that structure really holds up when it comes to custody and bankruptcy isolation.

An AMC (Actively Managed Certificate) is a debt instrument under Swiss law. What investors hold is a claim against a special purpose vehicle (SPV). It is not a fund share, and it is not direct ownership of the underlying assets. GenTwo is responsible for setting up this SPV structure, and OKX provides trade execution and institutional-grade custody. But whether the AMC you hold is safe depends on whether the SPV's bankruptcy isolation actually works, and whether the underlying assets are truly kept separate from the issuer's balance sheet.
Check the Custody Chain of the Underlying Assets
GenTwo's SPV structure claims to be "off-balance-sheet," meaning the product assets do not appear on the issuer's balance sheet, so they would not be affected if the issuer goes bankrupt. But this promise needs to be verified at a concrete level:
Who custodies the underlying assets. OKX Europe holds a MiCA license and has dual qualifications as a broker and custodian. Client assets are segregated off the balance sheet. But you need to confirm whether the digital assets underlying the AMC are actually held in a segregated account at OKX Europe, or whether they are held by another custodian in the GenTwo network. GenTwo's operating framework mentions "custody flexibility," meaning the issuer can choose the custodian. This means different AMCs may have different custody arrangements.
Whether the SPV is truly bankruptcy remote. The SPV may be registered in Guernsey, the Cayman Islands, or Switzerland. The effectiveness of bankruptcy remoteness differs across jurisdictions. You need to check the specific SPV registration documents and issuance documents to confirm that it meets the bankruptcy remoteness requirements in your jurisdiction.
Check the Legal Nature of the AMC Token
If what you are buying is a tokenized AMC issued jointly by GenTwo and Archax, the situation becomes more complex. Archax provides on-chain tokenization infrastructure and mints AMC tokens on networks such as Ethereum and Solana. According to GenTwo, the AMC token "is a debt instrument." Investors hold a credit claim against the SPV, and the product wallet is pledged in the interest of investors.
The token itself does not change the underlying legal structure. The token you hold represents a claim against the SPV, not ownership of the underlying assets. If something goes wrong with Archax's tokenization layer, such as a token contract being attacked or Archax having problems as a custodian, your claim path is still against the SPV, not against the token itself.
Check How the MiCA Framework Covers You
OKX's MiCA license covers all 30 European Economic Area (EEA) jurisdictions. But MiCA regulates OKX's operations as a crypto asset service provider. It does not directly regulate GenTwo's AMC issuance. The AMC itself is governed by Swiss securities law. MiCA provides the compliance foundation for custody and trading on the OKX side.
You need to separate regulation into two layers:
OKX side: MiCA authorization, client asset segregation, reserve ratio above 100%.
GenTwo/SPV side: Swiss securities law, the law of the SPV's place of registration, and the terms of the issuance documents.
The two are independent. OKX's MiCA compliance does not automatically guarantee that the SPV's bankruptcy isolation is effective.
Check Three Key Clauses in the Issuance Documents
Once you have the specific AMC issuance documents, focus on three areas:
First, termination and redemption clauses. An AMC is an open-ended product, but under what conditions can the issuer force termination? At termination, is redemption based on NAV or another price? How long does the redemption process take? GenTwo claims that it takes only days to go "from idea to Swiss ISIN," but the details of the exit process are not in that slogan.
Second, the fee structure. GenTwo says costs are "a fraction of traditional fund fees," but you need to look at the specific management fee, custody fee, trading fee, and the execution fee on the OKX side. Are these fees deducted from the NAV, and how often are they deducted?
Third, rules for changing and rebalancing underlying assets. An AMC is an actively managed product. What is the scope of authority of the strategy executor? What are the frequency and trigger conditions for rebalancing? If the strategy executor deviates from the agreed investment scope, what recourse do investors have?
An Easily Overlooked Part: Distribution Compliance
GenTwo's platform can generate "bankable" ISIN securities, meaning the product can be distributed through traditional banking channels. But distribution compliance and product compliance are two different things. If your AMC targets European retail investors, MiCA's passporting mechanism allows OKX to reach 400 million potential European investors, but retail distribution still needs to meet suitability assessment and disclosure requirements under MiFID II. You need to confirm whether your AMC is approved for retail distribution or is limited to professional investors only.
The partnership between OKX and GenTwo provides an AMC issuance channel that is much faster than setting up a traditional fund, with initial products mainly covering major digital assets. Speed is an advantage, but it also means the time for reviewing issuance documents and structure is compressed. Before signing, checking the SPV's bankruptcy isolation clauses, custody arrangements, and redemption mechanism clearly is more important than looking at the "issue within a week" marketing claim.
