Binance Corporate Account Opening: Must the Director and Main Trader Be the Same Person?

No. In Binance's institutional verification framework, Director and Authorised Trader are two separate related-party roles. They can be held by different people, or the same person can hold both roles. The platform does not require them to be the same person.

What the two roles mean in Binance verification

Binance defines "related parties" as individuals who have a significant relationship with the applying entity, including Ultimate Beneficial Owners (UBOs), directors and senior officers, controllers, and authorised traders.

Directors/Senior Officers are responsible for managing the organization and making day-to-day operational, investment, and other key decisions. This role focuses on corporate governance identity.

Authorised Traders are individuals authorized to conduct trading activities on behalf of the institutional account and have the authority to buy and sell assets on behalf of the company. This role focuses on operational permissions.

In Binance's corporate verification process, when filling in information about related parties, they are also handled separately: first add the information of directors or equivalent positions, then add the information of authorised traders for the account. You also need to set one authorised trader as the main trader, and the main trader must complete facial verification.

How to arrange it in practice

If the company is small and the director is the person who actually makes trading decisions and operations, then having the same person serve as both director and authorised trader is completely feasible and saves extra document preparation. This is also a common practice for many small corporate accounts.

If the company has a clear division of labor — for example, the director is responsible for governance and signing, while actual trading is executed by a trading team — then declare them separately. There can be multiple authorised traders, and one of them can be set as the main trader to complete facial verification.

One design worth noting is that Binance provides a custodial sub-account feature, which allows the account holder to retain control of assets while granting trading-only permissions to authorised traders through API. Authorised traders cannot withdraw funds from custodial sub-accounts; withdrawals can only be made by the account holder. This means that if your company wants the director to control funds and traders to only handle operations, custodial sub-accounts support this separation mechanically, without forcing both roles onto one person.

Recommendations

Small teams or companies with single-person decision-making: Having the director also serve as the authorised trader is simpler, requiring one less set of personnel documents and a shorter review path.

Companies with a dedicated trading team: Declare the director and authorised trader separately. The director handles governance-level compliance, and traders handle actual operations. If you are concerned about traders having too much authority, you can combine custodial sub-accounts or custom login permissions to control it.

What needs to be confirmed is: no matter how you arrange it, all declared related parties need to provide identity information and documents, and the main trader also needs to complete facial verification. If the director does not participate in trading and is not an authorised trader, he or she still needs to be declared as a director but does not need to complete the trader facial verification step.
