An ADR you buy on Binance Stocks is not the same thing as the ordinary share of that company in its home market. An ADR is a certificate issued by a depositary bank, representing an indirect interest in the shares of a non-U.S. company. It trades in U.S. dollars on Binance and follows U.S. market rules, but holding it does not mean you directly own the original share, and it does not automatically come with all the rights of an original shareholder. A more practical difference is cost: holding certain ADRs may incur a depositary fee, while original listed shares do not have this fee.

What an ADR Is and How It Differs from the Original Share
ADR stands for American Depositary Receipt. A non-U.S. company places its shares with a U.S. depositary bank (or its local custodian), and the bank issues a certificate in the United States based on those shares. That certificate is the ADR. It trades in U.S. dollars on the U.S. stock market and uses the U.S. settlement system, allowing U.S. investors to gain indirect exposure to a foreign company without exchanging currency or opening an account on a foreign exchange.
The original listed share is the share directly issued by the company in its home listing market. For example, if a Chinese company is listed in Hong Kong, its "original share" is the one on the Hong Kong exchange. The ADR it issues in the United States is a different type of certificate.
The core differences between the two come down to three points.
Different rights. ADR holders gain economic exposure, but usually do not have direct voting rights, and they are not registered shareholders of the company. The SEC describes an ADR as "a negotiable certificate that evidences an ownership interest in ADSs," and ADSs in turn represent an interest in the shares of a non-U.S. company deposited with a U.S. bank. Binance's explanation of tokenized stocks also makes clear that holding such products does not grant shareholder voting rights or direct share ownership rights.
Different currency and trading rules. ADRs are priced in U.S. dollars and traded on U.S. exchanges or over-the-counter markets, subject to U.S. market hours and rules. Original shares are priced in their local currency and traded on the exchange in the issuing market, with different trading hours, settlement cycles, and price movement rules.
The conversion ratio is not necessarily one-to-one. One ADR may represent one original share, a fraction of a share, or multiple shares. The ratio is designed to bring the ADR price into a price range common on U.S. markets. For example, Alibaba's ADR name states that "each represents eight Ordinary Shares," meaning one ADR corresponds to eight ordinary shares. If you do not check the ratio before buying and directly compare per-share data of the original share with the ADR price, you will make a calculation error.
ADRs on Binance Have an Extra Depositary Fee
In Binance Stocks trading, ADRs and regular U.S. stocks use the same interface on the page, and the difference is not highlighted in a prominent way. But on your bill there is one real difference: the ADR depositary fee.
An announcement published by Binance in October 2026 listed the depositary fees for some U.S. stocks ADRs. The fee is charged by the depositary bank, and Binance passes it on to users about one month after receiving the deduction. The fee is automatically deducted from the account balance in USDC. The key rule is: as long as you hold the relevant asset on the record date, you will still be charged this fee even if you have already sold it afterward. If the account balance is insufficient, the system may temporarily freeze assets of equivalent value until the fee is collected in full.
The fee rate varies by stock. The per-share fees shown in the announcement range from 0.004 dollars (Bayer BAYRY) to 0.02 dollars (FinVolution, Niu Technologies, etc.). A single amount may look small, but it is part of the holding cost, and original listed shares do not have this item.
There Is Another Layer of Difference on Binance Stocks: Direct Stocks vs Tokenized Stocks
If you see different products for the same company on Binance, you also need to distinguish whether you are buying a "direct stock" or a "tokenized stock (bStock)." Binance stock trading offers direct trading services for U.S. stocks and ETFs, executed and held through partner brokers. bStock is an on-chain token. Although it is 1:1 backed by real stocks, it is a BEP-20 token, trades 24/7, and does not grant shareholder rights.
Take SK Hynix as an example. There are three different things on Binance at the same time: a perpetual contract tracking its U.S. stock ADR, a perpetual contract tracking its Korean original share, and a tokenized bStock. Binance's own explanation points out that these two perpetual contracts may diverge in price because they correspond to different underlying assets, different trading hours, and exchange rate factors. This example shows that "the same company" on Binance may correspond to multiple products, each with different underlying assets and mechanisms.
How to Tell What You Are Buying
When you open a stock's page, first look at the name. If the full company name contains "American Depositary Shares" or "ADR," or if there is an ADR mark next to the ticker, it is a depositary receipt. If the name says "Common Stock" and there is no ADR mark, it is a direct stock.
Then check the fees. Look up whether this ticker is on the ADR fee list in Binance Stocks' fee explanation or announcements. If you do not plan to hold long-term around the record date, also pay attention to the rule that "holding it at all means you will be charged."
If what you want is economic exposure to a non-U.S. company, an ADR offers the convenience of not needing to exchange currency or open a foreign account, at the cost of depositary fees and indirectness of rights. If what you want is direct shareholder status or the trading conditions of the original market, an ADR is not that path. Within the Binance Stocks product framework, what you can buy is an ADR or a direct U.S. stock. The ordinary shares of the original listing market are not included.
